BYE-LAW OF THE ORGANIZATION

Aims and Objectives

1. Propagating the teachings of our Lord Jesus Christ as interpreted by the Malankara Orthodox Church (hereinafter "Church") with Head Quarters at Devalokom Catholicate Aramana and headed by the Catholicos of the East and Malankara Metropolitan, regining on the Throne of St. Thomas, the Apostle of India. The present incumbent of the Throne is His
Holiness Moran Mar Beselius Mar Thoma Didimos I, but this expression will include his succssors in due course.

2. To fight for the protection of the fundamental rights of the laymen of the Malankara Orthodox Church given by the Constitution of the Church passed in 1934 and ammended time to time.

3. To hold Conferences, Seminars and other activities deemed fit by the Akhila Malankara Almaya Vedi (hereinafter "Almaya Vedi) for educating the laymen of the Church and make them more attached to their Church and to use their various abilities for the total upliftment and the spiritual and tempral renaissance of the Church. In order to propagate the message of Almaya Vedi, to conduct publications and other medias like website, internet, television programmes etc...

4. To make the laymen of the Church to be vigilant for the preservation of various traditions and heritages, especially the heritage of St. Thomas of this anceint Church.

5. Promote various establishments by availing financial assistance from the Government and other financial institutions for eradicating poverty and financial insteability among from the society as a whole.

6. To receive the profits from the activities and subscriptions from the members of the Almaya Vedi and donations from the public and form the fund for operations of the Almaya Vedi.

7. To run various institutions like Schools, Hospitals, Old Age Homes, Bala - Balika Bhavans etc. for the welfare of the society as a whole.

Powers and duties of the Executive Committee

Any member of the Executive Committee can inspect the books and records of the Almaya Vedi during the working hours of its office. In case any discrepancies are noticed, the matter should be presented before the Executive Committee for verification. Monthly statements of receipts and payments should be presented before the General Body after the approval of the Executive Committee. The Executive Committee shall prepare the budget for each year and shall place it before the General Body for approval.

President

The President of the Almaya Vedi shall chair the meetings of the Execuitive Committee, Secretariate and General Body. All the statements and records of the organisation shall be signed by the President.

Working President

In the absence of the President or in case the post is vacant the Working President shall preside over the meetings of the Executive Committee, Secretariate and General Body and exercise the powers of President.

Vice President

Vice President of the organisation shall have all the powers and duties of the President in his absence.

Secretary

Secretary of the Alamaya Vedi shall be the custodian of all the books and records. He shall prepare and maintain the accounts, minuts and reports and shall do all correspondence for and on behalf of the organisation.

Treasurer

The Treasurer shall inform the Executive Committee about the expences and payments made by him and to keep proper vouchers for all such expenses and payments. He shall also issue proper receipt for all amount received and the copies of such receipt shall be kept. Any excess cash available shall be remitted to the Bank account in the joint names of the Secreatry and Treasurer.

General Body

The General Body shall be held at least once in two months. The quorum of the General Body Shall be 2/3 rd of the total number of the members of the valid members of the Almaya Vedi. For meeting where no major policy decisions are taken, the President may waive the deficiency of quorum as per his discretion. The General Body may constitute necessary Rules and Regulations regarding the day-to-day working of the Almaya Vedi.

Fund for Operation

Membership fee, donations, earnings from programmes and activities, subscription from the members and other bodies and institutions etc. shall form operational fund of the Almaya Vedi.

The Accounts and Audit

The accounts of the initial year shall be audited by the auditer appointed by the Executive Committee. Appointment of the Auditors for the sebsiquent years shall be made by each Annual Body. The Treasurer and two members of the Executive Committee shall present the audited statements of accounts before the General Body for approval. The copies of the accounts attested by two members of the Executive Committee shall filed with District Registrar within 21 days from the date of the conclusion of the General Body.

The Members of the Executive Committee jointly and severally liable for the loss of property, if any, of the organisation. In the case any loss/or liability arises to the organisation due to the willful neglect of any member / the respective member / shall compensate such loss / liability subject to the decision of the General Body.

Membership

The Membership of the Almaya Vedi is strictly reserved to the laymen of the Malankara Orthodox Church who are loyal and obedient to the Constitution of the Church, faith, order and descipline of the Church and various traditions and heritages. The Almaya Vedi will have the following types of memberships;

(a) Primary Members

(b) Life Members

The Executive Committee may fix membership fees and conditions for membership time to time in accordance with the consent of the General Body. The membership of Almaya Vedi will cease in case a person leaves Malankara Orthodox Church.

I Executive Committee

The Executive Committee of the Almaya Vedi shall have 9 members and six of them office bearers viz (a) President (b) Working President (c) Vice President (d) Secretary (e) Joint Secretary (f) Tresurer (g) Organising Secretary.

The members of the Executive Committee shall hold their office for a period of two years.

(b) The quorum for the committee meetings shall be 2/3 rd of the total committee numbers. A member may deem to be present for a meeting if he notifies the President or the Secretariate will accept all decisions of a meeting which he is unable to attempt.

(c) All proceedings of the Committee meetings shall be recorded in the minites.

II Secretariate

The Secretariate will be the Working Committee of the Almaya Vedi which consist the President, Working President, Vice President, Secretary, Joint Secretary, Tresurer and Organising Secretary. The Secretariate is empowered to meet and take immediate action on behalf of the Executive Committee in the event of an emergency occuring, subject to the ratification of the next meeting of the Executive Committee.

Amendmends of the Bye-Law

Amendments can be made to this Bye-Law by the addition of any new clause or omissions / modification of any existing clause by passing a resolution in the General Body with 2/3 rd majority. Notice of such amendment shall be given to all members before seven days of the commencement of the meeting.

Records and Deeds

The Records of the Organisations includes its common seal, letterheads, receipts books, attendance register of the General Body, minutes, register of members, cash book, ledger, stock register, bye-law, Registration Certificate, Pass Book and Cheque Book, Notice Book, files of correspondance and any other books or records approved by the Executive Committee from time to time.

All deeds and agreements of the Almaya Vedi shall be made in the name of the President of the Organisation. Any deed / Agreement with third parties shall be made by the President and Secretary with consent of the Executive Committee.

Miscellaneous

Surplus funds of Almaya Vedi, if any, will not be distributed among the members of the Almaya Vedi.Any dispute arising out of the activities of Almaya Vedi are to be resolved either by mutual settlement or in the Courts of Law having Juridiction over Kottayam Municipal limits. In the event of the dissolution, any assets, movable or immovable, remaining after satisfying all debts and liablities of the organisations shall not be distributed among the members. Such assets shall be transfered to another registered society with similar objectives or to the Government.

Annual General Body

The Annual General Body of the Almaya Vedi shall be held in the month of April each year and audited statements of accounts and report shall be considered and approved in this meeting.
